Terms and Conditions
Effective date: November 1, 2026
1. About these Terms
These Terms and Conditions ("Terms") govern your use of the website https://wolvixsolutions.com (the "Site") and set out the basis on which Wolvix Solutions provides website development, ecommerce development, mobile and web application development, custom software, UI/UX design, technology integration, hosting and maintenance, search engine optimization, AI search optimization, paid advertising management, social media management, content marketing, email marketing, local SEO, conversion rate optimization, reputation management, AI automation, branding and graphic design, video editing, customer support and virtual assistant services and related digital services (the "Services").
"Wolvix Solutions", "we", "us" and "our" mean Wolvix Solutions LLC, a limited liability company with its registered address at 6545 Market Ave North, Ste 100, Canton, OH 44721, USA.
"You" and "your" mean the person, company or organization that uses the Site or engages us for Services. If you act on behalf of a company, you confirm that you have authority to bind that company.
By using the Site, submitting a form, booking a call, accepting a proposal, signing a statement of work or paying an invoice, you agree to these Terms. If you do not agree, do not use the Site or the Services.
2. Definitions
Proposal means a written proposal, quotation, statement of work, scope document, order form, package selection confirmed by email or through the Site, or retainer agreement issued by us and accepted by you. Project means a fixed scope engagement with defined deliverables and milestones, such as a website build, store build, app build or integration. Retainer means an ongoing monthly engagement such as SEO, paid advertising management, social media management, email marketing, maintenance, hosting, support or virtual assistant services. Deliverables means the code, designs, content, reports, campaigns, configurations and other work products we create for you under a Proposal. Client Materials means the content, data, logos, images, credentials, access and other material you provide to us. Third Party Costs means costs payable to third parties for the Services, including advertising spend, domain registration, hosting, software licenses, plugins, themes, stock assets, app store fees, SMS and voice usage and API usage. Business Day means Monday to Friday excluding public holidays in Texas.
3. Use of the Site
You may use the Site for lawful purposes only. You must not use the Site in any way that breaches applicable law; attempt to gain unauthorized access to the Site, its server or any connected system; introduce viruses, malware or other harmful material; scrape, copy, reproduce or republish any part of the Site without our written permission; or submit false, misleading or fraudulent information through any form or tool on the Site. We may suspend or withdraw the Site or any part of it at any time without notice. We do not guarantee that the Site will be available without interruption or free of errors.
4. Enquiries, proposals and formation of contract
Information on the Site, including packages, pricing, calculators, quizzes, audits and plan builder outputs, is for general guidance only and does not constitute an offer. All pricing is subject to confirmation in a written Proposal. A binding contract for Services is formed when you accept a Proposal in writing (including by email or e-signature) or when you pay a deposit or invoice for the Services, whichever is earlier. The Proposal, together with these Terms, forms the whole agreement for those Services. If there is a conflict, the Proposal takes priority over these Terms. Proposals are valid for 30 days from the date issued unless a different period is stated. We may withdraw or revise a Proposal at any time before you accept it. Any free audit, Growth Score report, consultation, strategy call or preliminary review we provide is offered without obligation and does not form part of any contract unless a Proposal is later agreed.
5. Our obligations
We will provide the Services with reasonable skill and care, in line with the scope agreed in the Proposal, using appropriately qualified people. We will keep you informed of progress, respond to reasonable requests for updates and let you know promptly if we become aware of anything likely to cause delay. We will assign a project manager or account manager as your primary point of contact. We may change the individuals working on your account at our discretion, provided the work continues to be delivered to the agreed standard.
6. Your obligations
You agree to provide accurate, complete and timely Client Materials, information, access, credentials and approvals needed for the Services; ensure that all Client Materials are lawful, do not infringe any third party rights, and that you have the right to give them to us and to have them used in the Deliverables; nominate a single point of contact authorized to give instructions, feedback and approvals; respond to requests for feedback, approval or information within 5 Business Days unless a different period is agreed; comply with the terms of any third party platform involved in the Services, including Google, Meta, LinkedIn, TikTok, Shopify, WordPress, Apple, Google Play, Trustpilot and hosting providers; keep any login details we give you secure and tell us immediately if you believe they have been compromised; and pay our invoices on time. You are responsible for the accuracy of any claims, prices, offers, legal statements and regulatory content in your Deliverables, including ad copy and landing pages. Where your business is in a regulated sector (such as healthcare, finance, legal or supplements), you are responsible for confirming that content complies with the rules that apply to you.
7. Client delays and inactivity
If you delay providing Client Materials, feedback or approvals, we may adjust timelines accordingly and are not liable for any resulting delay. If a Project is paused or inactive because of your delay for more than 30 consecutive days, we may issue a written notice. If we receive no response within a further 14 days, we may either treat the Project as suspended, in which case any deposit and payments made are retained, a restart fee of 10% of the remaining Project value may apply and the Project will be rescheduled subject to team availability; or treat the Project as cancelled by you, in which case Section 15 applies. Where a Project has been inactive for more than 90 days due to your delay, we may invoice for all work completed to date and treat the remaining scope as cancelled.
8. Fees and payment
Fees are set out in the Proposal. Unless the Proposal states otherwise: for Projects, a deposit of 50% of the Project fee is payable before work begins and is non refundable except as set out in Section 15, with the balance payable before the final Deliverables are released, the site goes live or the app is submitted to a store; for Retainers, fees are payable monthly in advance on or before the start of each billing month and are non refundable once the month has begun; for hourly and time based work, we invoice at the end of each month or when a pre purchased block of hours is used up, and pre purchased hours expire 6 months after purchase. Third Party Costs are separate from our fees. Advertising spend is paid by you directly to the platform using your own payment method wherever possible. Where we pay any Third Party Cost on your behalf, we invoice it at cost plus any handling fee stated in the Proposal, payable on receipt. Invoices are due within 14 days of the invoice date unless a different period is stated, in the currency stated, in full and without set off or deduction. Fees exclude sales tax and any other applicable taxes, which will be added where required. If an invoice is not paid on time we may, after notice, suspend all work, campaigns, hosting and support until payment is received; withhold delivery of Deliverables and transfer of intellectual property; charge interest on the overdue amount at the maximum rate permitted by Texas law, calculated daily from the due date; and charge reasonable collection and legal costs where permitted by law. Suspension for non payment does not extend any deadline for you to pay, and we are not liable for any loss caused by suspension. Retainer fees may be reviewed annually with at least 30 days written notice, and you may end the Retainer before the change takes effect.
9. Scope, changes and additional work
The scope of each engagement is defined in the Proposal. Anything not expressly included is out of scope. If you ask for work outside the agreed scope, we will provide a written change request setting out additional fees and any effect on timelines, and we will not start out of scope work until you approve it. Approval may be given by email. Small out of scope requests may, at our discretion, be absorbed or charged at our standard hourly rate, and we will tell you which applies before doing the work. Where a Proposal is based on assumptions (such as number of pages, number of integrations, a specific platform or the availability of a design) and those assumptions prove incorrect, we may issue a change request.
10. Revisions and approvals
Unless the Proposal states otherwise, each design or content Deliverable includes up to 2 rounds of revisions. A revision round is a single consolidated set of feedback from your nominated contact. Additional rounds, or changes to an already approved Deliverable, are charged at our standard hourly rate or as set out in a change request. Revisions must be within the original scope; a change of direction, brief or brand after work has started is a change of scope. Once you approve a Deliverable in writing (including by email or through a project tool), it is deemed accepted.
11. Delivery, testing and acceptance
We will notify you when a Deliverable or milestone is ready for review. You have 10 Business Days from notification to test it and report in writing any material non conformity with the agreed specification. If you do not report within that period, or you put the Deliverable into live use, it is deemed accepted. We will correct at no charge any material non conformity reported within the acceptance period. Cosmetic preferences, changes of mind and issues caused by Client Materials, third party services or your own changes are not non conformities. Timelines are estimates and depend on your timely cooperation and on third party platforms.
12. Websites, apps and software
We build on the platform stated in the Proposal. You are responsible for platform subscription fees and we are not responsible for platform changes after delivery. Domain names and hosting accounts should be registered in your name and paid for by you unless we provide hosting under Section 13; where we register a domain or hosting on your behalf, we hold it as your agent and transfer it to you on request once all invoices are paid. You will give us the administrative access needed for the work; we use it only for the Services and remove our access on request when the engagement ends. Deliverables may include open source software, licensed themes, plugins, fonts, stock media and third party APIs, which remain subject to their own licenses and fees, and which we do not warrant. Websites are tested on the current and previous major versions of Chrome, Safari, Firefox and Edge on desktop and on current iOS and Android devices. Approval and listing of mobile apps is at the discretion of Apple and Google; we prepare submissions to their published guidelines but do not guarantee approval. After go live or handover, further work including bug fixes for issues not reported within the 30 day warranty in Section 18 is chargeable unless covered by a maintenance Retainer. We take a backup before major changes during a Project; after handover, backups are your responsibility unless covered by a hosting or maintenance Retainer.
13. Hosting, maintenance and support
Where we provide hosting, maintenance or support, the scope, response times and fees are set out in the Proposal. Hosting is provided through third party infrastructure providers and is subject to their availability and terms. We target 99.5% monthly uptime but do not guarantee it. Maintenance covers the items listed in the Proposal and does not cover new features, redesigns, content changes beyond the stated allowance, or work needed because of changes made by you or third parties without our involvement. We acknowledge support requests within 1 Business Day and prioritize them by severity. If you end a hosting Retainer, we provide a full export of your site and database and keep the site live for 14 days after the end date to allow migration, after which we may delete the site and all backups.
14. Marketing services
This section applies to SEO, AI search optimization, paid advertising, social media, email marketing, local SEO, reputation management and similar Services. Advertising, analytics, search console, social media, review and email marketing accounts should be owned by you and created in your name; we work in them as a manager or partner, and where we create an account on your behalf we transfer ownership on request once all invoices are paid. Advertising spend is set by you and paid by you directly to the platform; we manage spend within your budget and are not liable for platform overspend, billing errors or currency variations outside our control. Management fees are payable regardless of campaign performance. Platforms may reject ads, restrict or suspend accounts at any time; we follow platform policies and assist with appeals, but we are not responsible for rejections, suspensions or policy changes, and fees remain payable during any suspension not caused by our negligence. Search rankings, AI citations, traffic, leads, conversions, sales, followers, engagement, reviews, cost per acquisition and return on ad spend depend on many factors outside our control, and we do not guarantee any specific result; figures in a Proposal are estimates. You are responsible for reviewing and approving ad copy, creative, landing pages, posts and review responses before they go live where the Proposal requires approval. Reported data is taken from platform and analytics tools and is subject to their attribution methods. We never create, purchase or incentivize fake reviews, and we will decline instructions to do so. SEO and paid advertising Retainers require an initial minimum term of 3 months unless the Proposal states otherwise, after which they continue month to month. When a marketing Retainer ends, we hand over account ownership, provide a final report and remove our access within 14 days.
15. Cancellation and refunds
These terms apply because the Services are bespoke professional services in which time, planning and resources are committed as soon as an engagement begins. The full Refund Policy at /refund-policy forms part of these Terms.
15.1 Cancellation by you before work starts. If you cancel a Project in writing before we have started work, we refund your deposit less a cancellation fee of 15% of the deposit to cover scoping, planning and resource allocation, and less any Third Party Costs already incurred. Work is treated as started when we begin discovery, design, development, content or campaign setup, or when we have purchased any Third Party Cost for you.
15.2 Cancellation by you after work starts. The deposit is non refundable. You must pay for all work completed up to the date of cancellation, calculated on milestones completed or, where a milestone is partly complete, on hours worked at our standard hourly rate, whichever is greater, up to the total Project fee; any Third Party Costs incurred or committed; and any milestone payment already due. We provide the Deliverables completed and paid for at the point of cancellation, in their current state, without warranty. No refund is given for work already completed.
15.3 Website package money back guarantee. Our Starter, Standard and Professional website packages carry a 100% money back guarantee. If we fail to deliver the agreed package scope within 30 days after the agreed turnaround, for reasons within our control, and we do not remedy the failure within 10 Business Days of your written notice, you may request a full refund of the package fee. The guarantee does not apply where delay or non delivery is caused by late or missing Client Materials, feedback or approvals, changes of scope or direction, third party platforms, or where you have approved the design or put the site into live use.
15.4 Cancellation of a Retainer. Retainers may be cancelled by either party with at least 30 days written notice, taking effect at the end of a monthly billing period. Where a minimum term applies, cancellation cannot take effect before the end of the minimum term unless we agree otherwise, and fees for the remainder of the minimum term remain payable. Retainer fees already paid for the current month are non refundable. Where notice is given part way through a month, the following month is the notice month and is payable in full.
15.5 Cancellation of hourly or pre purchased blocks. Pre purchased blocks of hours are non refundable and expire in line with Section 8.
15.6 Cancellation by us. We may end an engagement by giving you 30 days written notice for any reason, or immediately if you commit a material breach not remedied within 14 days of notice, become insolvent, ask us to do anything unlawful or contrary to platform policies, or behave abusively towards our staff. If we end an engagement for our convenience, we refund any deposit or prepaid fees relating to work not yet performed, after deducting the value of work completed and Third Party Costs incurred. If we end an engagement because of your breach, no refund is due and all work completed to the date of termination is payable.
15.7 Refund conditions. Where a refund is due, we process it within 14 days of confirming the amount, to the original payment method and in the original currency. Payment processor fees, bank charges and exchange rate differences are not refunded. Third Party Costs are never refundable by us, though we will assist you in seeking a refund from the third party where their terms allow it.
15.8 No other refunds. Except as expressly set out in this Section 15, the Refund Policy or required by law, all fees are non refundable. In particular, we do not give refunds because you change your mind, change direction or no longer need the Services; you are dissatisfied with results, rankings, traffic, leads, sales or engagement, given that no results are guaranteed; a third party platform rejects, suspends or restricts an account, app or campaign; you have not provided Client Materials, feedback or approvals needed to progress; or you have chosen to stop using or delete the Deliverables.
15.9 Consumers. The Services are for business customers. If you deal with us as a consumer, your statutory rights are not affected by this Section.
16. Intellectual property
You keep ownership of all Client Materials and grant us a non exclusive license to use them to deliver the Services. On receipt of full payment of all fees for the relevant Project or Retainer, we assign to you the intellectual property rights in the bespoke Deliverables created specifically for you, such as custom code, designs, copy and campaign assets, excluding the items below. Until full payment is received, all rights remain with us and you have a revocable license to use the Deliverables for review only. We keep ownership of our pre existing tools, frameworks, libraries, templates, components, prompts, AI agent configurations, methodologies, know how and generic material used across projects; where these are included in your Deliverables we grant you a non exclusive, perpetual, royalty free license to use them as part of the Deliverables, and you may not extract them for use outside the Deliverables or resell them. Open source software, stock images, fonts, themes, plugins and platform components remain subject to their own licenses. Source and design files are provided on request after full payment for Projects. Unless you tell us in writing not to, we may refer to you as a client, use your name and logo in our client list, and show the work we did for you in our portfolio, case studies, social media and marketing. We may place a small credit in the footer of websites we build, which you may ask us to remove. To the extent permitted by law, our staff and contractors waive any moral rights in the Deliverables.
17. Confidentiality
Each of us will keep the other's confidential information confidential, use it only for the Services and not disclose it to anyone other than staff, contractors and advisers who need to know it and are bound by equivalent obligations. This does not apply to information that is public, already known to the recipient, independently developed or required to be disclosed by law. These obligations last for 3 years after the end of the Services. We may disclose confidential information to our group companies and subcontractors bound by confidentiality obligations no less protective than these.
18. Warranties and disclaimers
We warrant that the Services will be provided with reasonable skill and care, and that bespoke code we write will materially conform to the agreed specification for 30 days after acceptance or go live, whichever is earlier, and we will correct at no charge any non conformity you report in writing within that period. The warranty does not cover issues caused by Client Materials, third party components, platform updates, hosting environments we do not control, changes made by you or third parties, or use of the Deliverables outside their intended purpose. Except as expressly stated in these Terms, the Site and the Services are provided as is, and all other warranties, conditions and terms, whether express or implied, including merchantability, fitness for a particular purpose and non infringement, are excluded to the fullest extent permitted by law.
19. Limitation of liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited or excluded by law. Subject to that, we will not be liable for any loss of profit, revenue, business, contracts, goodwill, data or anticipated savings, loss of search rankings, advertising performance, followers or engagement, downtime, or for any indirect, consequential, special or punitive loss, however arising, even if advised of the possibility. Our total liability to you under or in connection with the Services, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees (excluding Third Party Costs) paid by you to us for the Services in the 12 months before the event giving rise to the claim. You must notify us of any claim within 6 months of becoming aware of the facts giving rise to it.
20. Indemnity
You will indemnify us and our group companies against all claims, losses, costs and expenses (including reasonable legal fees) arising from any Client Materials, including any claim that they infringe third party rights or are unlawful; any claims, offers, prices or statements in your Deliverables that you approved or that were based on information you provided; any breach of a third party platform's terms caused by your instructions or your account; and your breach of these Terms or applicable law.
21. Term and termination
Project engagements end on delivery, acceptance and payment. Retainer engagements continue month to month after any minimum term and may be ended in line with Section 15. Either party may end the Services immediately by written notice if the other commits a material breach not remedied within 14 days of notice, becomes insolvent or ceases to trade. On termination you must pay for all work done up to the date of termination and any committed Third Party Costs; we hand over Deliverables, accounts, domains and hosting that have been paid for; each party returns or deletes the other's confidential information on request; and clauses intended to survive, including payment, cancellation and refunds, intellectual property, confidentiality, liability, indemnity and governing law, continue to apply.
22. Non solicitation
During an engagement and for 12 months after it ends, you will not directly or indirectly employ, engage or solicit for employment any member of our staff or any contractor who worked on your account, including virtual assistants and support agents placed with you, without our written consent. If you breach this clause, you will pay us a fee equal to 25% of that person's annual remuneration with us as a reasonable estimate of our recruitment and training costs.
23. Data protection
Each party will comply with applicable data protection law. Where we process personal data on your behalf in the course of the Services, including customer records, form submissions, call recordings and AI agent conversations, we do so as your processor on your documented instructions, and the data processing terms in your Proposal or a separate data processing agreement apply. Where the Services involve protected health information, a Business Associate Agreement will be signed before any such data is handled. You are responsible for ensuring you have a lawful basis to give us any personal data and for the privacy policies, cookie consent and legal notices on your own website and in your own communications, unless we are engaged to draft them. Our own handling of personal data is described in our Privacy Policy at https://wolvixsolutions.com/privacy-policy.
24. SMS and text messaging terms
By providing your mobile number and opting in, you agree to receive customer support text messages from Wolvix Solutions at the number you provided. Messages may include replies to your enquiries, appointment and meeting confirmations, project and account updates and service notifications. We will only send promotional or marketing messages if you have separately and expressly opted in to receive them. Consent to receive text messages is not a condition of purchasing any product or service from us. You can opt in by ticking the optional SMS consent box on a form on our website, or by giving verbal consent in person or on a call when we ask whether you would like to receive customer support SMS messages. When you opt in you will be told that message and data rates may apply, that message frequency may vary, and that you can reply STOP to opt out or HELP for help. Message frequency may vary depending on your interaction with us; you may receive up to 10 messages per month, which can be higher during an active project. Message and data rates may apply; check with your mobile carrier. You can cancel at any time by replying STOP to any message, after which you will receive one confirmation message and no further texts unless you opt in again. For help, reply HELP to any message or contact us at hello@wolvixsolutions.com. We support most major US and Canadian carriers; carriers are not liable for delayed or undelivered messages and delivery is not guaranteed. If you change or deactivate your mobile number, you are responsible for notifying us. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. The full SMS Terms are at https://wolvixsolutions.com/sms-terms and the SMS section of our Privacy Policy explains how we handle your number and consent data.
25. Force majeure
Neither party will be liable for any delay or failure to perform caused by events outside its reasonable control, including platform outages, internet or telecoms failures, power failures, cyber attacks, natural disasters, epidemics, government action, war or civil unrest. The affected party will notify the other and use reasonable efforts to resume performance. If the event continues for more than 60 days, either party may end the affected Services by written notice, and Section 15 applies as if the engagement had been cancelled by us for convenience.
26. Disputes
If a dispute arises, the parties will first try to resolve it through good faith discussion between senior representatives within 14 days of one party notifying the other in writing. If that fails, either party may refer the dispute to mediation in Travis County, Texas before starting court proceedings, with the mediator's fees shared equally. This clause does not prevent either party from seeking urgent injunctive relief or from starting proceedings to recover unpaid fees.
27. General
These Terms, together with the applicable Proposal, our Privacy Policy, Cookie Policy, Refund Policy and SMS Terms, form the entire agreement between you and us and replace any earlier discussions, representations or agreements. You may not transfer your rights or obligations without our written consent; we may assign these Terms to a group company or a buyer of our business, and may subcontract parts of the Services to our group companies and vetted contractors, remaining responsible for their work. If any part of these Terms is found invalid or unenforceable, the rest continues in force. A failure or delay in enforcing any right is not a waiver. Notices must be in writing and sent by email to hello@wolvixsolutions.com or to the email address you gave us, and are deemed received on the next Business Day. No one other than you, us and our group companies has any right to enforce these Terms. We are an independent contractor; nothing creates a partnership, joint venture, agency or employment relationship. We may update these Terms from time to time; the version in force when you enter into a contract applies to that contract, and the current version is always available on the Site.
28. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them (including non contractual disputes) are governed by the laws of the State of Texas, without regard to its conflict of law rules, and the state and federal courts located in Travis County, Texas have exclusive jurisdiction.
